“Services” refers to all products and services offered, including but not limited to corporate filings, business registrations, amendments, document orders, NUANS name reports, and other registry-related tasks.

3. Eligibility

To use our services, you must:

Be at least 18 years old;
Be legally capable of entering into binding agreements under applicable law.

By using our services, you affirm that you meet these criteria. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to this Agreement.

4. Description of Services

We provide a comprehensive suite of Alberta Registry services, including but not limited to:

Incorporation of Alberta and extra-provincial corporations
Registration of trade names and partnerships
Annual return filings and corporate amendments
Changes to corporate address, directors, or shareholders
Corporate name reservations (NUANS)
Revivals, dissolutions, and amalgamations
Ordering of minute books and certified documents
Ordering of land title documents

All services are subject to relevant provincial and federal laws, and government regulations may affect availability, requirements, and timelines.

5. Account Registration and Security

To access certain services, you may be required to create an account. By registering for an account, you agree to:

Provide accurate, complete, and up-to-date information during the registration process;
Maintain the confidentiality and security of your login credentials, including your username and password;
Promptly notify us of any unauthorized use or suspicious activity on your account, including any compromise of your credentials.

You acknowledge and agree that you are solely responsible for all activities that occur under your account, whether authorized or unauthorized. Registry Express Inc. is not liable for any losses, damages, or consequences arising from unauthorized access or misuse of your account due to your failure to properly safeguard your login credentials.

6. User Conduct

By accessing or using the services and website of Registry Express Inc., you agree to use them only for lawful and authorized purposes. Specifically, you shall not:

Violate any applicable municipal, provincial, federal, or international law, regulation, or administrative order;
Attempt to gain unauthorized access to any portion of our systems, servers, user data, or network infrastructure;
Engage in any activity that may disrupt, impair, or compromise the security, integrity, or performance of our website, services, or systems;
Submit or transmit any false, fraudulent, deceptive, defamatory, or malicious information, documentation, or representations.

Registry Express Inc. reserves the right to suspend, restrict, or permanently terminate your access to our website and services, without prior notice, if in our sole discretion we determine that your conduct violates these Terms and Conditions, applicable laws, or the rights of others.

7. Payment Terms

By using the services of Registry Express Inc., you agree to the following payment terms:

All service fees will be clearly displayed prior to checkout or order submission.
Pricing is subject to change at any time without prior notice; however, changes will not affect orders that have already been confirmed.
Full payment is required at the time of order using one of the accepted payment methods, which may include credit card, debit, electronic funds transfer, or other forms of payment as made available on our platform.
Service fees may consist of both mandatory government filing charges and our processing fees.
Except as outlined in our Refund and Cancellation Policy, all payments are final and non-refundable once the order is submitted and processing begins.

By placing an order, you agree to pay all applicable fees as outlined at the time of transaction and authorize Registry Express Inc. to charge your selected payment method for the full amount due.

8. Refund and Cancellation Policy

At Registry Express Inc., we strive to provide reliable and efficient service. However, due to the nature of government filings and digital document processing, all refund and cancellation requests are subject to the following terms:

Refunds will only be issued in cases where we are unable to deliver the requested service due to an internal error or system outage on our part.
Once a service request has been submitted and processing has commenced, it is considered final and cannot be canceled, modified, or refunded.
No refunds will be granted for completed services involving digital documents, corporate name searches (e.g., NUANS reports), or registry filings once they have been submitted to or processed by applicable government authorities.

We strongly encourage you to review all information carefully before confirming your submission. If you believe a refund is justified due to an error on our part, please contact us in writing with a detailed explanation. All refund requests are subject to management review and approval.

9. Service Delivery and Processing Times

a. Delivery Method

All services provided through Registry Express Inc. are delivered electronically, either via email or through your secure online account portal. Physical delivery is not offered unless explicitly stated for specific services.

b. Potential Delays

While we strive to process all requests promptly, service delivery may be delayed due to factors beyond our control, including but not limited to:

Incomplete, inaccurate, or inconsistent information submitted by the user;
Delays or backlogs at government agencies or third-party service providers;
Unusually high service volumes;
Regulatory or procedural changes affecting filing processes;
System outages, maintenance, or technical disruptions.

c. Customer Responsibilities

To help ensure timely processing, you acknowledge and agree that you are solely responsible for:

Providing accurate, complete, and current information with your submission;
Responding promptly to any requests for clarification or supplemental documentation;
Submitting service requests well in advance of any applicable legal, regulatory, or filing deadlines.

Failure to meet these responsibilities may result in processing delays or additional service fees.

d. Disclaimer of Liability for Delays

All processing timeframes communicated by Registry Express Inc. are estimates only and are not guaranteed.
We expressly disclaim all liability for any losses, penalties, missed deadlines, or other damages arising from delays in service delivery, regardless of the cause. This includes, without limitation, delays caused by third parties or government processing systems.

10. Intellectual Property

All content on our website – including text, graphics, logos, and software is the property of Registry Express Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not:

Reproduce, distribute, or exploit any content without our permission;
Use any content for commercial purposes without written authorization.

Unauthorized use may result in legal action.

11. Privacy Policy

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, store, and share your personal information. By using our services, you consent to the collection and use of your information in accordance with applicable Alberta laws.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

Registry Express Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, business opportunities, or data, arising out of or in connection with your use of our services, regardless of the cause of action and even if we were advised of the possibility of such damages.
In all cases, our total cumulative liability, whether in contract, tort (including negligence), strict liability, or otherwise, shall be strictly limited to the amount you paid for the specific service that directly gave rise to the claim.
These limitations of liability apply notwithstanding any failure of essential purpose or any limited remedy.

13. Indemnification

You agree to fully indemnify, defend, and hold harmless Registry Express Inc., along with its affiliates, directors, officers, employees, contractors, and agents (collectively, the “Indemnified Parties”), from and against any and all claims, demands, losses, liabilities, damages, judgments, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) Your access to or use of the website, online portal, or any of our services;
(b) Any breach or alleged breach of these Terms and Conditions by you, including any violation of representations, warranties, or obligations set out herein;
(c) The submission of any false, misleading, inaccurate, or incomplete information by you or on your behalf, whether intentional or unintentional;
(d) Any negligent, fraudulent, or unlawful act or omission committed by you in connection with your use of the services.

This indemnity obligation survives the termination or expiration of this Agreement and remains enforceable as long as any such claim may arise.

15. Governing Law and Jurisdiction
